CLOUDSERVIZ, A CLOUD-BASED RECORD MANAGEMENT SERVICE PLATFORM, IS PROVIDED TO YOU OR THE ENTITY THAT YOU REPRESENT (hereinafter “You” or “Your”) BY CLOUDSERVIZ INC. (hereinafter “CLOUDSERVIZ”), ACCORDING TO THE FOLLOWING TERMS AND CONDITIONS (hereinafter “Terms”). USE OF CLOUDSERVIZ SIGNIFIES YOU ARE AGREEING TO BE RESPONSIBLE FOR COMPLIANCE WITH ANY APPLICABLE LAWS AND YOUR ACCEPTANCE OF THE TERMS AND GENERAL TERMS OF SERVICE. IF YOU DO NOT AGREE TO THE TERMS, DO NOT PROCEED OR USE CLOUDSERVIZ IN ANY MANNER. APPLICABLE COPYRIGHT AND TRADEMARK LAW PROTECT ALL MATERIALS CONTAINED ON CLOUDSERVIZ.

USER ACCOUNT
You shall be required to create a user account and corresponding password in order to use certain CLOUDSERVIZ services or features. You must be at least 18 years old to create a user account and you must provide truthful and accurate information about yourself. You are prohibited to impersonate anyone else when creating a user account. If any significant user information changes at any time, you must update the user account to reflect those changes.

INFORMATION ON OUR SERVICES
CLOUDSERVIZ provide services for online record keeping, collaboration, digital management including spreadsheet, team partnership tool, email notification, SMS notification, organizer and customer relationship management application ("Service" or "Services"). You are allowed to use the Services for personal and business-related work or for internal business purpose in the organization that you represent. You may connect to the Services using any Internet browser supported by the Services. You are responsible for obtaining access to the Internet and the equipment necessary to use the Services. You can create and edit content with your user account and if you choose to do so, you can publish and share such content.

USE OF WEBSITE
Do not use the CLOUDSERVIZ in a way or form that break the laws, intrude on anyone’s rights, is offensive, or meddle with the website or any features on the website.

If we discover that you have acted improperly, we reserve the right to take down your data, terminate your account, ban you from using the website, and take applicable legal actions

Using CLOUDSERVIZ does not give you ownership of any intellectual property rights to the content you access. You may not use content from CLOUDSERVIZ unless you secure permission from the CLOUDSERVIZ management.

When you use CLOUDSERVIZ or send communications to us, you are communicating with us electronically. You agree to receive electronically any communications related to your use of a CLOUDSERVIZ. We may communicate with you by email or by posting notices on the website. You permit that all agreements, notices, disclosures and other communications that are provided to you electronically comply any legal requirement that such communications be in writing. All notices from us intended for receipt by you shall be deemed delivered and effective when sent to the email address you provide to us. Please note that by submitting data, content, creating a user account or otherwise providing us with your email address, postal address or mobile number, you are agreeing that we or our agents may contact you at that address or number in a manner consistent with our Privacy Statement.

FEES AND PAYMENTS
CLOUDSERVIZ services are available under a one-time payment plan and subscription plans of various durations. Payments can be made through Nimbus Coin. A Nimbus Coin can be purchased via Direct Bank Deposit or Credit Card. As of 2 January 2018, one (1) Nimbus Coin is equivalent to forty (P40) Pesos.

Your subscription will be automatically renewed at the end of each subscription period unless you downgrade your paid subscription plan to a free plan or inform us that you do not wish to renew the subscription. At the time of automatic renewal, the subscription fee will be charged to the Credit Card last used by you. We provide you the option of changing the details if you would like the payment for the renewal to be made through a different Credit Card. If you do not wish to renew the subscription, you must inform us at least seven days prior to the renewal date. If you have not downgraded to a free plan and if you have not informed us that you do not wish to renew the subscription, you will be presumed to have authorized CLOUDSERVIZ to charge the subscription fee to the Credit Card last used by you.

From time to time, we may change the price of any Service or charge for use of Services that are currently available free of charge. Any increase in charges will not apply until the expiry of your then current billing cycle. You will not be charged for using any Service unless you have opted for a paid subscription plan.

DATA AND CONTENT OWNERSHIP
We recognize your right to ownership of data or content created or stored by you. You own the content created or stored by you. Unless specifically permitted by you, your use of our services does not grant CLOUDSERVIZ the license to use, reproduce, adapt, modify, publish or distribute the content created by you or stored in your user account for CLOUDSERVIZ commercial, marketing or any similar purpose. But you grant CLOUDSERVIZ permission to access, copy, distribute, store, transmit, reformat, publicly display and publicly perform the content of your user account solely as required for the purpose of providing the Services to you.

USER-GENERATED DATA AND CONTENT
You may broadcast or publish data and content created by you using any of our services. However, you shall be solely accountable for such data and content and the consequences of its broadcast or publication.

Any data and content made public will be publicly accessible through the internet and may be crawled and indexed by search engines. You are responsible for making sure that you do not unintentionally or unwittingly make any private content publicly available. Any data and content that you may receive from other users of our services, is provided to you AS IS for your information and personal use only and you agree not to use, copy, reproduce, distribute, transmit, broadcast, display, sell, license or otherwise exploit such content for any purpose, without the express written consent of the person who owns the rights to such content. In the course of using any of our services, if you come across any data and content with copyright notices or any copy protection features, you shall comply not to remove such copyright notices or disable such copy protection features as the case may be. By making any copyrighted or copyrightable data and content available on any of our services you affirm that you have the consent, authorization or permission, as the case may be from every individual who may claim any rights in such data and content to make such content available in such manner. Further, by making any data and content available in the manner aforementioned, you expressly agree that CLOUDSERVIZ shall have the right to ban connection to or delete such data and content made available by you if CLOUDSERVIZ receives grievances, objections or protests having to do with any malfeasance, misconduct, wrongdoing or infringement of third party rights in such data and content. By using any of our services and broadcasting or publishing any data and content using such services, you agree to determination of questions of malfeasance, misconduct, wrongdoing or infringement of third party rights in such content by a representative of CLOUDSERVIZ for this purpose.

DISCLAIMER
The materials on CLOUDSERVIZ are provided AS IS. CLOUDSERVIZ makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, CLOUDSERVIZ does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its Internet website or otherwise relating to such materials or on any sites linked to this site.

LIMITATIONS
In no event shall CLOUDSERVIZ be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption,) arising out of the use or inability to use the materials on CLOUDSERVIZ website, even if you or your authorized representative has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you

REVISIONS AND ERRATA
The materials appearing on CLOUDSERVIZ could include technical, typographical, or photographic errors. CLOUDSERVIZ does not warrant that any of the materials on its website are accurate, complete, or current. CLOUDSERVIZ may make changes to the materials contained on its web site at any time without notice. The CLOUDSERVIZ does not, however, make any commitment to update the materials.

INDEMNIFICATION
You agree to indemnify and hold harmless CLOUDSERVIZ, its officers, directors, employees, suppliers, and affiliates, from and against any losses, damages, fines and expenses (including attorney's fees and costs) arising out of or relating to any claims that you have used our services in violation of another party's rights, in violation of any law, in violations of any provisions of the Terms, or any other claim related to your use of our services, except where such use is authorized by CLOUDSERVIZ.

CLOUDSERVIZ has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by CLOUDSERVIZ of the site. Use of any such linked website is at the user’s own risk.

USER ACCOUNT FREEZE AND TERMINATION
CLOUDSERVIZ shall freeze your user account or temporarily disable access to whole or part of any service in the event of any suspected malfeasance, misconduct, wrongdoing, infringement, illegal activity, extended periods of inactivity or demand by law enforcement or other government agencies. Protest or opposition to the suspension or disabling of user accounts should be sent to [email protected] within thirty (30) days of being alerted or advised about the suspension or disabling. We may terminate or delete a suspended or disabled user account after thirty (30) days. We will also terminate your user account upon your request.
Furthermore, we reserve the right to terminate your user account and deny our services upon legitimate belief that you have violated the Terms and to terminate your access to any Beta Service in case of unexpected technical issues or discontinuation of the Beta Service. You have the right to terminate your user account if CLOUDSERVIZ violate its responsibility under these Terms and in such event, you will be entitled to prorated refund of any prepaid fees. Termination of user account will include denial of access to all our services, deletion of information in your user account such as your email address and password and deletion of all data and content in your user account.

GOVERNING LAW
Any claim relating to CLOUDSERVIZ website shall be governed by the laws of the Philippines without regard to its conflict of law provisions.
